Complications surrounding the $110 billion merger of Paramount and Warner Bros. Discovery have put the transaction on hold—a delay that may reduce urgency for the NFL on its CBS broadcast renewal, according to internal communications from Paramount Skydance leadership.

Paramount Skydance CEO David Ellison addressed employees this week in an all-hands memo, seeking to reassure staffers after the company paused the acquisition. Ellison closed his nine-paragraph note with "Let's go."

Despite the deal being on hold, Ellison said the legal issues threatening to derail it "do not hold water" and that "we will complete [the deal] and bring these two companies together."

The primary obstacle is an antitrust lawsuit filed by 12 state attorneys general.

The pause trims Paramount's financial and strategic bandwidth, directly affecting its capacity for aggressive bidding or rapid agreement on major sports media rights—including any CBS renewal discussions with the NFL.

The NFL benefits from that breathing room. With one of its key broadcast partners operating under legal and financial uncertainty, the league can assess its options without pressure to finalize a deal quickly. Resolution of the antitrust proceedings will determine what comes next for the merger.
